Terms and Conditions for Use of the Website for Providing Technical Data on Commercial Special Vehicles of Hyundai Motor Company
[Established on March 21, 2018]

Article 1 (Purpose)

The purpose of the Terms and Conditions is for Hyundai Motor Company (hereinafter referred to as the "Company") to define the rights, obligations and other necessary matters between the Company and members with respect to the use of Hyundai Motor Company's website for providing technical data on commercial special vehicles (bbm.hyundai.com).

Article 2 (Definition of Terms)

The definition of terms used in these terms and conditions is given below.

1. "Service" means providing members with the technical data on commercial special vehicles through the website for providing technical data on commercial special vehicles of Hyundai Motor Company.
2. "Member" means any company producing special vehicles that uses the service after concluding a use agreement in accordance with these Terms and Conditions.
3. "Special Vehicle Production Company" means a corporation or an individual business that sells completed special vehicles to final customers for actual use by producing completed special vehicles through changing the product or adding functions/devices after purchasing a product (chassis or finished vehicle) manufactured or sold by the Company (Hyundai Motor Company).
4. "ID" means a combination of numbers, symbols, or letters that are determined by the member and approved by the Company in accordance with the policies established by the Company for the identification of the member and the use of the service.
5. "Password" means a combination of numbers, symbols, or letters set by the member according to the policy set by the Company in order to confirm that the member matches the given ID.
6. "Data Created by the Member" means the data created by the member for the use of the service and is the data registered on the website of the website for providing technical data on special vehicles of Hyundai Motor Company regardless of whether they are disclosed or not.

Article 3 (Scope of the Services and Terms of Conditions)

Service users are limited to members and members are subject to these Terms and Conditions.

Article 4 (Revision of Terms and Conditions)

① The Company may revise the Terms and Conditions arbitrarily, and if it is revised, the Company will notice the application date, contents revised, reasons for revision, and objection procedure along with the current Terms and Conditions at least 7 days before the date on which the revised Terms and Conditions applies by posting it on the initial screen (or through a separate window) of the website for providing technical data on special vehicles of Hyundai Motor Company. ② Members have the right to disagree with the revised Terms and Conditions, and if they do not agree with the revised Terms and Conditions, they may stop using this service and terminate the use agreement. However, if any member does not expressly refuse to the Company or terminate the use agreement even though the Company has announced or notified the member of the intention that if the member does not express intention of disagreement to the Company within prior grace period of at least 30 days when the Company announces or notifies the revised Terms and Conditions in accordance with the proviso of the preceding paragraph, the member shall be deemed to have agreed to the revised Terms and Conditions.

Article 5 (Regulations Other than Terms and Conditions)
Matters not stated in the Terms and Conditions and interpretation of the Terms and Conditions shall be governed by relevant laws and regulations or commercial practice.

Article 6 (Establishment of the Use Agreement)

① The use agreement shall be established if the person who wishes to become a member applies for membership after agreeing with the contents of the Terms and Conditions, and the Company approves the above application.
② Members may agree with the Terms and Conditions electronically.
③ The Company may limit the scope of service provided according to the qualification of the member.
1. Conditions for Classifying the Qualifications for Membership
- Types of our vehicles handled in the event of producing special vehicles
- Types of our technical data required for producing special vehicles
- Security management capability for technical data provided by the Company and due diligence check result
- New additional conditions if necessary
(Conditions noticed to members in advance by e-mail or other means of delivery before applying the conditions)
④ The Company may not approve membership application in any of the following cases:
1. When the service cannot be provided technically;
2. If member information is missing or entered differently from the fact;
3. When attempts to break into an information and communication network, such as the website for special vehicles of Hyundai Motor Company, have been confirmed without proper access rights or beyond allowed access rights;
4. In the event that the use agreement has been terminated due to the member's violation of duty;
5. If against good customs and other social order;
6. If the member does not comply with other relevant laws and regulations, and the Company's disclosed or non-disclosed policies, etc.

Article 7 (Content of the Use Agreement)

① The content of the use agreement is about the regulation of the rights and obligations between the Company and members in providing the service to members.
② The Company may require certain certification procedures to confirm membership, and if any member does not comply with these procedures, the Company will not provide the member with the service.

Article 8 (Obligations of Member)
Any member shall not engage in the following acts when using the service:
1. Any act that infringes or may infringe the rights of the Company or a third party (including insubstantial insult, damage to honor, obstruction of business attempted, and unauthorized representation of the Company or a third party);
2. Any act of entering member information differently from facts;
3. Any act of using the information obtained through the service for commercial purposes without the Company's approval;
4. Any act of using the service for commercial purposes for the member or a third party without the Company's approval;
5. Any act against good customs and other social order;
6. Any act of disclosing any confidential information, such as company's technical data on special vehicles, provided on the website for special vehicles of Hyundai Motor Company to a third party or third parties;
7. Any act of violating other related laws and regulations and the Company's disclosed policies.

Article 9 (Management of ID and Password)

① Member's password is stored in one-way encryption so that it cannot be decrypted by any third party including the company. The Company shall not be liable for any damage to a member due to the loss or theft of his/her ID and password.
② The Company may recommend changing the password of a member at regular intervals to protect the member's information.
③ For the ID that has no access record for 1 year, the Company may restrict access for the ID to use the service after performing a certain authentication procedure.
④ The Company can set policy on ID and password management separately.

Article 10 (Modification of Member Information)

① Any member shall revise his or her member information according to the form and method prescribed by the Company when the member information entered when applying for membership changes.
② The Company shall not be liable for any damages caused by the member's failure to correct the member information in a timely manner.

Article 11 (Notice to Members)
① Unless otherwise specified in the Terms and Conditions, the Company may notify the members using electronic transmission media based on the member information registered by the members.
② Notwithstanding Paragraph 1, the Company may substitute the notice for an unspecified number of members by posting it on the website for special vehicles of Hyundai Motor Company.

Article 12 (Termination of the Use Agreement)

① Any member shall apply for the withdrawal of membership to the Company in a separate way determined by the Company in order to terminate the use agreement.
② The Company may terminate the use agreement without notice in the following cases:
1. If the member fails to fulfill the obligations of members set out in Article 8;
2. If the member disagrees with the revision of the Terms and Conditions.
③ In the following cases, the Company shall notify the member by setting a considerable period of 14 days or more, and may terminate the use agreement if the member does not reply within that period:
1. If the member has no access record for 1 year;
2. When it is suspected that the member has entered his or her member information differently from the fact
④ Upon termination of the use agreement, the Company shall immediately delete the remaining information except for the information that is required to be preserved according to related laws and regulations.
⑤ The Company may take considerable measures such as restricting access in the event that any reason for termination set forth in this Article has occurred.

Article 13 (Prohibition of Transfer)

Any member shall not transfer the status under the use agreement and the rights and obligations arising therefrom without the approval of the Company to a third party.

Article 14 (Guarantee)

① The Company shall not be obligated to provide certain contents of services on the website for special vehicles of Hyundai Motor Company.
② The Company does not guarantee the accuracy of the information provided on the website for special vehicles of Hyundai Motor Company, and shall not be held liable for any damages caused by the member's trust in the information provided on the website for special vehicles of Hyundai Motor Company.
③ Even though the website for special vehicles of Hyundai Motor Company provides a link directly to an external web page, the Company is independent of the external web page and is not responsible for managing and supervising it. The Company bears no responsibility for the legal relationship formed by the member using the external webpage.

Article 15 (Start of the Services)

Unless otherwise specified, the Company will start the services from the date on which the Company approves the membership application of the member. However, some of the services may be started from a specified time.

Article 16 (Use Hour of the Services)

① In principle, the use hour of the service is 24X365.
② The Company may classify the services according to its contents and set the available time of members according to the contents of each service.

Article 17 (Change of the Services)
① The Company may change, discontinue, or terminate all or part of the services it provides according to operational, technical, and business needs for a considerable reason.
② If there is a change in the contents, use method, or use time of the services, the reason for the change, the contents of the services to be changed, and the date of provision of the services will be posted as notices and pop-ups on the website for special vehicles of Hyundai Motor Company 7 days prior to the change.
③ In the event that the services are terminated or the website for special vehicles of Hyundai Motor Company is closed, the Company shall post the reason, termination or closing date, etc. as a notice and pop-up on the website for special vehicles of Hyundai Motor Company 30 days prior to termination or closure.

Article 18 (Providing Information for the Services)
① The Company operates the services and may post various information that it wishes to provide on the website for special vehicles of Hyundai Motor Company or send it to the members by mail and electronic transmission media.
② Notwithstanding Paragraph 1, if the Company intends to transmit commercial information for commercial purposes using an electronic transmission medium, any member may indicate the rejection of receiving the commercial information or withdraw the prior consent. In this case, the Company will comply with the provisions set forth in the Act on the Promotion of Information and Communication Network Use and Information Protection.

Article 19 (Materials Created by Members)

① The rights and obligations of the materials created by any member shall belong to the member. The Company will not intervene in the legal relationship between the member and third parties regarding the materials created by a member except for the reasons prescribed by the relevant laws and regulations.
② The Company may copy, perform, publicly transmit, exhibit, distribute, rent, or create secondary works for the materials created by any member to the minimum extent necessary for marketing. Within this scope, the member shall be deemed to allow the use of materials created by a member free of charge by the Company and its affiliates under the copyright law.
③ Any member shall ensure that materials created by the member do not infringe the rights of any third party. Since the Company does not conduct any active or practical investigation on the infringement of the rights of any third party by the materials created by a member, the member may not claim that the Company has contributed to infringement of the rights of the third party by the materials created by the member for the reasons such that the materials created by the member have gone through the approval procedures of the Company or were not deleted by the Company for a certain period of time.
④ Unless the Company is paid for the use of the services by any member, the Company shall not be responsible for keeping the material created by the member securely nor bear any responsibility incurred by deleting the material created by the member according to the policy. Each member shall copy the materials created by itself and store them securely in separate devices as needed.
⑤ The Company may delete any materials created by any member without prior notice if it is determined that the following is true:
1. In the event of infringing or fearing to infringe on the rights of the Company or any third party (including insubstantial insult, damage to honor, obstruction of business attempted, and unauthorized representation of the Company or a third party);
2. If the material has exceeded the posting period set by the Company;
3. If the material is irrelevant to the services provided by the Company
4. If the advertising information is posted without the prior approval of the Company;
5. If against good customs and other social order;
6. If the material violates the related laws and regulations and the disclosed or undisclosed policies of the Company.
⑥ The Company may separately set the policy on the materials created by members.

Article 20 (Duty of Defense)
① If a third party files a lawsuit or raise objections to the Company for infringement of rights due to actions of a member, the member shall defend the Company at its own expense and reimburse the third party for damages.
② If, despite the notification of the Company, the relevant member fails to fulfill the defense obligations under Paragraph 1 within a considerable period of time, the Company may, at its own expense, defend the claim of the third party and demand the member to reimburse the judicial costs or other costs (including all costs associated with conducting the case, such as attorney's fees) spent to defend it. In this case, the Company may claim the pre-payment of the costs by the relevant member.

Article 21 (Immunity from Responsibility)

In the event that any damage to members due to the services provided by the Company occurs, the Company shall be liable only if such damage is caused by the Company's intention or gross negligence, and the scope of the liability is usually limited to the damage.

Article 22 (Governing Law)

The governing law of the Terms and Conditions shall be the laws of Republic of Korea.

Article 23 (Court of Competent Jurisdiction)

① If a dispute arises between the Company and any member regarding the use of the Services, the Company and the member shall consult in good faith for a period of one month to resolve the dispute.
② If the dispute is not settled despite the consultation of Paragraph 1, both parties may file a complaint with the court of competent jurisdiction in Republic of Korea after the consultation period of Paragraph 1 has passed.

Supplementary Rules 3. 2018

Article 1 (Enforcement Date) The Terms and Conditions shall come into force from April 5, 2018.

Terms and Conditions for Use of Information Security of the Website for Providing Technical Data on Commercial Special Vehicles of Hyundai Motor Company

The purpose of the Terms and Conditions is for Hyundai Motor Company Co., Ltd. (hereinafter referred to as "Hyundai Motor Company") to define the rights, obligations and other necessary matters between the Company and members with respect to the services provided to the members (those who have concluded the use agreement according to the Terms and Conditions for use of the website for special vehicles of Hyundai Motor Company by accessing the subscription page of the website for special vehicles of Hyundai Motor Company) via the Website for special vehicles of Hyundai Motor Company.

Article 1 (Meaning of Hyundai Motor Information)

① "Hyundai Motor Information" means all information related to the matters set forth in Article 2 including the trade secrets of Hyundai Motor Company (technical or managerial information of the Company, which is not publicly known and has independent economic value, which has been kept secret by considerable effort, and other useful technical information for the company) and know-how provided to the members through the website for special vehicles of the Hyundai Motor Company.
② The information provided on the website for special vehicles of the Hyundai Motor Company is the property of Hyundai Motor Company, and is provided to support the businesses for special vehicles of customers who have purchased products or services of Hyundai Motor Company. We prohibit any use other than the main purpose of businesses for special vehicles and providing the information to any third party.
③ The main purpose of businesses for special vehicles means that a member (meaning a manufacturer of special vehicles) purchases the original manufacturer's chassis, grasps the original manufacturer's chassis information in order to install the upper body and produce finished special vehicles, and use it for the purpose of designing / manufacturing finished special vehicles.
④ The materials provided by the website for special vehicles of Hyundai Motor Company may be changed without prior notice to members in order to improve the performance of vehicles of Hyundai Motor Company.
⑤ In principle, the final confirmation of all information about the vehicles of Hyundai Motor Company shall be made through the products actually purchased and acquired by any member.
⑥ Hyundai Motor Company provides information on the condition that the member complies with the provisions of Paragraphs 1 to 5 of this Article.

Article 2 (Scope of Hyundai Motor Information)

① Secrets concerning the technologies related to the design method, design drawing, manufacturing process, manufacturing equipment, and other product manufacturing, production, and repair of products
② Matters related to R&D including R&D plan, work report and daily record, experimental data, and research performance analysis data of products, and new car related information
③ Matters related to Hyundai Motor Company's plan including business plan, production plan and budget
④ Matters concerning personal information of employees, customers, members, employees of other companies, etc.
⑤ Matters related to Hyundai Motor Company's management including the status of personnel, organization, finance, marketing, and data processing
⑥ Other matters related to Hyundai Motor Company's management, which were acquired during fulfilment of a contract or irrespective of fulfillment of a contract

Article 3 (Compliance with Security Management Regulations of Hyundai Motor Company)

Any member shall comply with the security management regulations to protect the company information of Hyundai Motor Company.

Article 4 (Prohibition of Unauthorized Use / Leakage / Disclosure of Information)

Any member shall not use the Hyundai Motor Information for any purposes other than the purpose of the fulfillment of a contract or disclose it to any third party without prior written consent of Hyundai Motor Company until the Hyundai Motor Information becomes a fact know to the public.

Article 5 (Prohibition of Unauthorized Copying)

Any member shall not copy, record or photograph Hyundai Motor Information for any purposes other than the fulfillment of a contract.

Article 6 (Restriction on Information Accessor)

① Any member shall designate the accessor of Hyundai Motor Information and the employee who will do a fixed reading of it, receive a security pledge from the person concerned and conduct information security education for the person concerned.
② Any member shall receive security related pledges and regularly conduct security education to protect the Hyundai Motor Information when hiring and retiring employees.
③ Any member shall be responsible for the damages to Hyundai Motor Company if the member's employees violate the information protection obligations of Hyundai Motor Company.

Article 7 (Return, Destruction and Prohibition of Retention of Hyundai Motor Information)

① Upon termination of a contract (or a fixed time point after the termination of a contract in accordance with the agreement with Hyundai Motor Company), any member shall return all materials related to the Hyundai Motor Information stored in recording media including charts, design drawings, specifications, memos, reports, notes, magnetic tapes, disks, files, and storage media to Hyundai Motor Company or destroy them under discussion with Hyundai Motor Company if it is difficult to return them, and shall not have any form of its copy.
② Any member shall keep a letter confirming whether the matters specified in Article 7 ① have been fulfilled and submit it to Hyundai Motor Company when requested by Hyundai Motor Company.

Article 8 (Security Inspection by Hyundai Motor Company)

① Any member shall respond to the inspection when Hyundai Motor Company requests security inspection to check the matters set forth in the Terms and Conditions, cooperate with security inspection as much as possible, and submit security related materials when requested by Hyundai Motor Company.
② Any member shall keep and manage the security management ledger for the Hyundai Motor Information and submit relevant data upon the request of Hyundai Motor Company.

Article 9 (Measures of Hyundai Motor Company against Violation of Terms and Conditions)

① In the event of any disruption or damage of business or management to Hyundai Motor Company due to the violation of the Terms and Conditions by any member, the member shall not object to measures, such as warning, suspension of transactions, and forced withdrawal of membership, taken by Hyundai Motor Company in consideration of the degree of violation.
② Any member shall not raise any objection to measures in accordance with Article 9 ① in cases where the representative, an agent, an employee and other employees (including those who retired after the contract is concluded) of the member have conducted the prohibited acts prescribed in Articles 4, 5 and 7.

Article 10 (Civil and Criminal Liability for Violating the Terms and Conditions)

① Any member shall bear civil and criminal liabilities in accordance with all the relevant laws and regulations such as civil and criminal liability, civil default liability, or liability for damages caused by illegal acts prescribed in the Act on Unfair Competition Prevention and Trade Secret Protection in case of violating each of the provisions of the Terms and Conditions and immediately reimburse the amount of damages for the financial damages of Hyundai Motor Company.
② Any member shall bear civil and criminal liabilities in accordance with Article 10 ① in cases where the representative, an agent, an employee and other employees (including those who retired after the contract is concluded) of the member have conducted the prohibited acts prescribed in Articles 4, 5 and 7.

I hereby confirm that I have read the above contents carefully before accepting the Terms and Conditions for the protection and use of information.

Information such as company name, business registration number, representative's name, company address, and company representative's contact information of the member, the agreeing party, is the same as the information entered by the member on the pages of the membership registration process.
